These Terms of Use ("Terms") govern access to and use of the website located at https://datanexusai.pro (the "Site") operated by Data Nexus AI Inc. ("Data Nexus AI," "we," "us," or "our"), with registered office at 18 York Street, Suite 1400, Toronto, Ontario M5J 2T8, Canada. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Relationship to other agreements

These Terms apply to website use only. Professional consulting services are governed by separate statements of work, master services agreements, and related schedules. If there is a conflict between these Terms and a signed client agreement, the signed agreement controls for that client relationship.

2. Eligibility and acceptable use

You must be at least the age of majority in your province or territory to use the Site for contractual purposes. You agree to use the Site lawfully and not to:

  • Attempt unauthorised access to systems, accounts, or networks connected to the Site.
  • Introduce malware, scrape content at a rate that impairs performance, or bypass security controls.
  • Submit false, misleading, or fraudulent contact form information.
  • Use automated means to complete forms in violation of our anti-spam measures, including filling honeypot fields intended to detect bots.
  • Reproduce, frame, or mirror Site content for commercial redistribution without written permission.
  • Use the Site in any manner that infringes intellectual property, privacy, or other rights of third parties.

We may suspend or restrict access if we reasonably believe you violated these Terms or applicable law.

3. No professional advice on the Site

Content on the Site—including service descriptions, case summaries, FAQ answers, and blog-style material—is general information about applied machine learning, data engineering, MLOps, LLM/RAG systems, and related topics. It is not legal, financial, tax, medical, or investment advice. You should consult qualified professionals before making decisions based on Site content. Case studies are anonymised illustrations; past results do not guarantee future outcomes.

4. No guarantee of model accuracy or outcomes

References to artificial intelligence, machine learning, or large language models on the Site describe capabilities and typical project patterns. We do not warrant that any model, pipeline, or retrieval system will achieve specific accuracy, uptime, or business results unless expressly stated in a signed client contract. Models require monitoring, labelled data, and human oversight; they are not substitutes for professional judgment in regulated domains.

5. Intellectual property

The Site, including text, graphics, logos, layout, and software, is owned by Data Nexus AI or its licensors and protected by Canadian and international copyright and trademark laws. You receive a limited, non-exclusive, non-transferable licence to view and download content for personal or internal business evaluation. You may not modify, reverse engineer, or create derivative works except as permitted by fair dealing or with our prior written consent.

Trademarks and service marks displayed on the Site may not be used without permission. Client logos or names are not displayed in public case summaries without consent.

6. User submissions

When you submit information through our contact form or email, you represent that you have the right to provide it and that it is accurate to the best of your knowledge. You grant us a licence to use submission content solely to respond, provide requested services, and maintain business records in accordance with our Privacy Policy. Do not submit confidential client data, credentials, or special-category personal information unless we have agreed a secure channel in writing.

7. Third-party links and tools

The Site may contain links to third-party websites or embed third-party tools (such as analytics when consented). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

8. Privacy and cookies

Our collection and use of personal information is described in the Privacy Policy, which complies with PIPEDA principles. Cookie use is described in the Cookie Policy. By using the Site, you acknowledge those policies.

9. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE OR CURRENT.

Some jurisdictions do not allow exclusion of implied warranties; in such cases, exclusions apply to the fullest extent permitted by law.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATA NEXUS AI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING FROM SITE USE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR THE MINIMUM AMOUNT REQUIRED BY APPLICABLE LAW, WHICHEVER IS GREATER.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Ontario law.

11. Indemnity

You agree to indemnify and hold harmless Data Nexus AI from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Site, violation of these Terms, or infringement of third-party rights, except to the extent caused by our gross negligence or wilful misconduct.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree that the courts located in Toronto, Ontario have exclusive jurisdiction over disputes arising from these Terms or Site use, subject to mandatory consumer protection rules that may apply in your jurisdiction.

13. Changes

We may modify these Terms at any time by posting an updated version with a revised "Last updated" date. Material changes may be noted on the Site. Continued use after changes constitutes acceptance where permitted by law. If you disagree with updated Terms, stop using the Site.

14. Severability and waiver

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of future enforcement.

15. Entire agreement for Site use

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement regarding your use of the Site and supersede prior understandings on that subject.
